Guide Agreement

1. Parties and Scope

This Guide Agreement ("Agreement") is entered into between The Wonder Nepal ("Platform", "we", "us") and the individual or entity ("Guide", "you") that registers a guide profile on thewondernepal.com.

This Agreement, together with the Terms and Conditions and the Refund Policy, constitutes the full legal basis for the Guide's participation on the Platform. By completing the guide registration process and submitting your profile for verification, you accept all terms of this Agreement.

2. Eligibility

To list on The Wonder Nepal, a Guide must satisfy all of the following:

2.1 Freelance Guides

  • Hold a valid trekking or tour guide licence issued by the Department of Tourism, Government of Nepal.
  • Be at least 18 years of age.
  • Be legally permitted to conduct tours in Nepal.
  • Maintain valid personal accident or liability insurance during any tour booking active on the Platform.

2.2 Company Guides / Operators

  • Be registered under Nepali company law with a valid PAN/VAT registration.
  • Hold a valid trekking and expedition operator licence or tourism business registration issued by the relevant Government of Nepal authority.
  • Maintain valid business liability insurance.

3. Onboarding and Profile Fee

Guides must complete the online registration form and submit required documentation (licence, PAN/VAT certificate, identity proof). The Wonder Nepal will review submissions within 5–10 business days. We reserve the right to request additional documentation or to reject applications that do not meet eligibility standards.

Upon approval of the verification review, a one-time Profile Publication Fee is charged before your profile goes live:

  • Freelance Guides: [REVIEW: set NPR amount — suggested NPR 1,500–3,000]
  • Company Guides: [REVIEW: set NPR amount — suggested NPR 5,000–10,000]

The Profile Publication Fee is non-refundable once your profile is live. It covers verification processing, profile hosting, and onboarding support. It is not a booking commission.

4. Commission Structure

The Wonder Nepal charges a commission on each confirmed booking processed through the Platform. The commission is deducted from the booking total before payout to the Guide.

Standard commission rates [REVIEW: finalise rates]:

  • Tier 1 (Unverified / New): [X]% of booking total.
  • Tier 2 (Verified, <50 bookings/year): [X]% of booking total.
  • Tier 3 (Verified, 50+ bookings/year): [X]% of booking total.

Commission is calculated on the booking total inclusive of GST (all prices on the Platform are GST-inclusive). The Guide is responsible for their own GST obligations on the net amount received. The Wonder Nepal will provide a monthly statement of bookings and commissions deducted.

Commission rates are reviewed annually and may be adjusted. Guides will be given 30 days' notice before any rate change takes effect.

5. Payout Schedule

Payouts of net booking revenue (booking total minus commission) are processed as follows:

  • Trigger: Payout is triggered when the booking status is marked "Completed" by the Guide (i.e., the tour has been delivered).
  • Frequency: Payouts are processed in batches on the 1st and 15th of each calendar month. All completed bookings up to 3 days before the batch date are included.
  • Method: Bank transfer to the Guide's registered Nepali bank account, or Khalti/eSewa wallet payout where available.
  • Currency: NPR only.
  • Minimum payout threshold: NPR 500. Amounts below this threshold roll over to the next payout cycle.

Guides must provide and maintain accurate bank account or wallet details in their dashboard. The Wonder Nepal is not responsible for failed payouts due to incorrect account information provided by the Guide.

6. Listing Standards

All tour listings must comply with the following standards:

  • Accuracy: Title, description, itinerary, inclusions, exclusions, prices, and difficulty ratings must accurately represent the tour. Misleading descriptions are grounds for immediate removal.
  • Pricing: All prices must be in NPR, GST-inclusive, and must not be artificially inflated or deflated from the guide's standard market rates solely to manipulate Platform rankings.
  • Images: Only original images or images for which you hold the rights may be used. Do not use stock images purporting to represent your specific tour.
  • Safety: Tours involving technical altitude (above 5,000 m), whitewater rafting (Grade 4+), or rock climbing must include explicit safety disclosures and require appropriate guide certification.
  • Capacity: Available seats must be kept accurate. Overbooking is a breach of this Agreement.

7. Code of Conduct

As a listed Guide on The Wonder Nepal, you agree to:

  • Treat all travelers with respect, regardless of nationality, gender, religion, disability, or age.
  • Deliver tours substantially as described in your listing. Material deviations must be communicated to the traveler in advance.
  • Respond to traveler enquiries received through the Platform within 48 hours on business days.
  • Acknowledge booking requests within 24 hours and confirm or decline within 72 hours.
  • Maintain compliance with all applicable Nepali laws, including tourism, environmental, and labour regulations.
  • Not solicit or accept direct cash payments from travelers to circumvent the Platform for bookings initiated through The Wonder Nepal.
  • Not engage in price-gouging or surge pricing during declared national emergencies.
  • Not misrepresent your verification status, credentials, or insurance.

Guides may request editorial coverage or "Featured Listing" placement through the Platform's promotional tools. Sponsored or featured placements are clearly labeled as such and do not influence editorial content.

8. No Conflict of Interest

The Wonder Nepal does not list or operate its own tours. This is a foundational principle of the Platform. All guides are subject to the same ranking algorithm, which is non-discriminatory and based on objective criteria (verification tier, booking completion rate, listing completeness).

Guides must disclose to The Wonder Nepal any business relationship or ownership connection they have with other entities listed on the Platform. Failure to disclose conflicts of interest may result in suspension.

The Wonder Nepal's employees and contractors are prohibited from holding direct financial interests in listed guide businesses.

9. Cancellations and Refunds

Guide-initiated cancellations and traveler refund obligations are governed by the Refund Policy, incorporated into this Agreement by reference.

Specifically, guides acknowledge that:

  • Guides must offer travelers a full refund for cancellations made at least 7 days before departure.
  • Force majeure events entitle travelers to a full refund regardless of timing.
  • Guides who repeatedly cancel confirmed bookings without valid cause risk account suspension.
  • Platform commission is not returned to the guide for guide-initiated cancellations.

10. Suspension and Termination

The Wonder Nepal may suspend or permanently remove a guide's profile for:

  • Providing false or fraudulent documentation during verification.
  • Repeated cancellations of confirmed bookings without valid cause.
  • Failure to deliver tours as described, resulting in substantiated traveler complaints.
  • Violation of the Code of Conduct in Section 7.
  • Non-disclosure of conflicts of interest as required under Section 8.
  • Circumventing the Platform's booking and payment system.
  • Any criminal conviction or ongoing investigation related to tourism services.

Before permanent removal, The Wonder Nepal will (where reasonable circumstances permit) provide written notice and a 14-day cure period. Suspended guides may appeal in writing to [email protected]. The Wonder Nepal's decision on appeals is final.

Upon termination, completed bookings already paid out are not affected. Any pending payout for completed tours will be released after a 30-day hold period, provided no active disputes remain.

11. Liability

The Guide is solely responsible for the safety, quality, and legality of the tours they list and operate. The Wonder Nepal does not assume any liability for personal injury, death, property damage, or financial loss arising from the Guide's tours.

The Guide agrees to indemnify and hold harmless The Wonder Nepal from any claims, damages, costs, or proceedings arising from the Guide's actions, omissions, or breach of this Agreement.

12. Intellectual Property

The Guide retains ownership of all original content they upload (tour descriptions, photos, itineraries). By uploading content to the Platform, the Guide grants The Wonder Nepal a non-exclusive, worldwide, royalty-free licence to display, reproduce, and promote that content on the Platform and in Platform marketing materials for as long as the guide's profile is active.

The Guide must not upload content that infringes the intellectual property rights of third parties.

13. Changes to This Agreement

The Wonder Nepal may update this Agreement from time to time. Material changes will be communicated to Guides via the registered email address at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Agreement.

14. Governing Law

This Agreement is governed by the laws of Nepal. Any disputes that cannot be resolved informally shall be referred to the courts of Kathmandu, Nepal.
